The department provides its clients with routine and close legal advice in corporate governance, and generally offers legal counsel to boards of directors and their committees and members as well as to controlling shareholders and other shareholders in public companies, on capital market issues regarding shareholder disputes, senior executive remuneration, officeholders’ liability, relations between public companies and parties at interest, and controlling shareholders, including internal enforcement of corporate governance and securities, and drawing up plans and procedures bound by these.
The department’s activities include support and representation of public companies before the Israel Securities Authority, the Tel Aviv Stock Exchange, and the Supervisor of the Capital Market, Insurance, and Savings as well as before the relevant authorities and regulators (Supervisor of Banks and the like).
The department’s attorneys also represent clients in business transactions that include capital market matters such as mergers and acquisitions, reverse mergers into stock market shells, and various private allocations. In addition to its intensive activities in raising capital and stock market deals, the department’s team has unique, comprehensive, and extensive experience in handling and managing crises in public companies and corporations required to report all incidents, and generally in representing companies in civil (including administrative procedures before the Israel Securities Authority) and criminal procedures in securities law and company law.
