On December 5, 2024, the Israel Securities Authority staff published a legal position regarding disclosure on the approval of compensation through the overruling mechanism.
This position complements a parallel position issued by the Attorney General, which outlines the guiding principles, conditions, and considerations that the Compensation Committee and the company’s Board of Directors must examine when using the mechanism to overrule decisions made by the General Assembly on compensation matters.
